I. SCOPE OF ACTIVITIES
Since its creation, the law firm has worked extensively within the field of private law, also providing legal advice to corporate clients on civil, commercial, procedural and labour issues.



II. ACTIVITIES RELATED TO BANKING SECTORS
The Firm has actively intervened in many international financing operations, working as Legal Adviser for Banking Agents or as the head of syndicated credits or loans, issuing debentures, bonds, accepting shares for quotation in national and foreign Markets, etc.

Furthermore, within this field, some of the areas in which the Firm has carried out the highest number of operations has been that of loans (syndicated and non-syndicated, in pesetas and other currencies, with or without guarantees) and issuance of all kinds of shares, having carried out funding operations of this sort for a wide range of Spanish Institutions and Companies, such as the SPANISH GOVERNMENT, INI, ICO, RENFE, all Motorway Companies, Electricity Companies, various Autonomous Communities, City Councils, government and autonomous community firms, etc.

Similarly, it has actively participated in “corporate banking” and “corporate financing” activities, including company restructuring, Project Financing and Mergers and Acquisitions.

It also has a relevant presence within the Stock Exchange field. Therefore, the company is frequently in contact with the Securities and Exchange Commission, the National Stock Markets and the Servicio de Compensación y Liquidación de Valores (Spanish Central Securities Depository). The Firm has, in fact, taken part in public bid operations for selling and placing shares in the Madrid, Bilbao, Valencia, Tokio and New York Stock Markets, constitutions of pooled investment management companies, FIM and FIAMM Mutual Funds and constitutions of Security Investment Companies of Fixed Capital (SIM) and Variable Capital(SIMCAV), as well as Investment Companies of Variable Funds (SIMCAVF), a field in which the firm is highly specialized.



III. INTERNATIONAL ACTIVITIES
The firm is highly specialised and has vast experience within this field, as a result of the many transactions undergone with foreign companies.



IV. OTHER COMMERCIAL ACTIVITIES
The firm operates within all areas of the commercial sector: thus, common activities include advising companies on corporate matters (constitution, liquidation, merger, demerger, use of capital, secretariat, orders, etc.) counselling during all kinds of negociations, drafting and preparing contracts.



V. PROCEDURAL ACTIVITIES
Procedural activities represent a large volume of our work, intervening in different jurisdictions and petitions (civil, criminal, labour, contentious-administrative).



VI. LABOUR ACTIVITIES
Strongly related to company counselling, it also intervenes in labour issues: drafting contracts, counselling, actions before the Labour Courts when work-related claims are raised, collective agreements, redundancy measures, etc.



VII. INTELLECTUAL AND INDUSTRIAL PROPERTY
This firm is currently directing important judicial procedures concerning Intellectual and Industrial Property. It has also provided advice on the subject to various clients, since it is a very important issue in the development of their activities.



VIII. PERSONAL DATA PROTECTION
The firm has experience in this area, since some of its clients are leaders in the Credit Standing Information field. This activity entails constant counselling on Personal Data Protection.



IX. TAX ACTIVITIES
The firm has also provided advice on tax issues presented by their clients. Two of the firm’s members have a Master’s degree in tax law; they are therefore aware of the fiscal consequences of operations performed for our clients.



X. RELATIONS WITH FOREIGN LAW FIRMS
Over the years, the A. RODRÍGUEZ-ARIAS, S.C. law firm has undergone many international activities, constantly working with foreign law firms.
